General Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply exclusively to all deliveries and services of To-Go Verpackungen Vertriebs GmbH & Co. KG. They also apply to future business relationships with entrepreneurs without further notice. If the entrepreneur uses conflicting or supplementary General Terms and Conditions, their validity is hereby contradicted; they only become part of the contract if we have expressly agreed to them.

2. Contracting Parties

The purchase contract is concluded with To-Go Verpackungen Vertriebs GmbH & Co. KG, Walter-Werning-Str. 5, 33699 Bielefeld (hereinafter referred to as TO-GO Verpackungen). Our offer is exclusively aimed at commercial operators and entrepreneurs according to § 14 BGB, as well as authorities and public institutions. Orders from consumers and private individuals under § 13 BGB will not be accepted. 3. Offer and Conclusion of Contract

  • 3.1 The presentation of products in the online shop does not constitute a legally binding offer but an invitation to order. Errors are reserved.
  • 3.2 You can initially place our products in the shopping cart without obligation and correct your entries at any time before submitting your binding order by using the correction aids provided and explained in the order process.
  • 3.3 By clicking the “Order with obligation to pay” button in the last step of the ordering process, you place a binding order for the goods listed on the order page.
  • 3.4 Confirmation of receipt of your order is sent automatically by e-mail immediately after the order is submitted. This email does not constitute a binding order confirmation in the legal sense.
  • 3.5 The purchase contract is concluded when we accept your order by sending an order and shipping confirmation by e-mail or by handing over the goods to a parcel service or forwarding agent.

5. Delivery

  • 5.1 We deliver only by shipping with our logistics partner DHL or by a forwarding agent if the ordered goods are not suitable for parcel shipping with DHL due to their size or weight.
  • 5.2 The delivery time for products that are immediately available is approximately 1 – 3 working days. Products that are not available cannot be ordered.
  • 5.3 Collection of goods in person is unfortunately not possible.

6. Transport Damage

The risk of accidental loss and accidental deterioration of the goods passes to you as soon as we have delivered the item to the carrier, freight forwarder, or other person or entity designated to carry out the shipment. Among merchants, the examination and notification obligations under § 377 HGB apply. If you fail to notify us accordingly, the goods are deemed to have been approved unless the defect was not detectable during the examination. This does not apply if we have fraudulently concealed the defect.

7. Payment

  • 7.1 Payment is made via the payment methods we currently offer. See: https://www.to-go-packaging.com/payment.
  • 7.2 Purchase on account for business customers via Billie: We offer business customers the option to pay the invoice amount by bank transfer only after receiving the goods and the invoice (“purchase on account”). To make this offer, we cooperate with the financial service provider Billie GmbH. After a successful address and credit check as part of the ordering process and placement of the order, we assign our claim to Billie GmbH. Please transfer the invoice amount within the payment deadline stated on the invoice to the account specified on the invoice. If business customers fail to pay by the due date, Billie will charge a statutory default fee of EUR 40. You can find Billie GmbH’s privacy policy here: https://www.billie.io/uk/privacy-policy. It applies in addition to our privacy policy and our GTC.
  • 7.3 You may only offset a counterclaim if your counterclaims have been legally established by a court, are undisputed, or have been recognized by us in writing.
  • 7.4 You may only exercise a right of retention insofar as your claims arise from the same contractual relationship.

8. Retention of Title

The goods remain our property until full payment has been made. We reserve the right of ownership to the goods until full settlement of all claims from an ongoing business relationship. You may resell the reserved goods in the ordinary course of business; you hereby assign all claims arising from this resale to us in the amount of the invoice amount in advance, regardless of whether the reserved goods are processed or mixed with another item, and we accept this assignment. You remain authorized to collect the claims, but we may collect the claims ourselves if you do not fulfill your payment obligations.

9. Notification of Defects, Warranty

TO-GO Verpackungen warrants — within the scope of the statutory warranty provisions — that all goods supplied by it are free from material and manufacturing defects at the time of transfer of risk. The customer undertakes to inspect all deliveries from TO-GO Verpackungen for freedom from defects and proper condition upon receipt. Shortages, incorrect deliveries, and obvious defects must be reported by the customer in writing within 7 days of receipt of the delivery. The obligation of merchants to give immediate notice of defects under § 377, 378 HGB remains unaffected. This also applies to merchants in the case of noticeable incorrect delivery by TO-GO Verpackungen, especially when products threatened by rapid loss of value are involved. In such cases, the goods must be returned to TO-GO Verpackungen without delay. Shipping costs will be reimbursed. The warranty period begins on the date of invoicing. The warranty expires if the customer modifies the delivered goods.

10. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR), which you can find here: http://ec.europa.eu/consumers/odr/. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

11. Place of Performance and Jurisdiction

The place of performance and jurisdiction is the registered office of TO-GO Verpackungen. In the event of legal disputes, German law applies.

12. Contract Text

The contract text is stored in our internal systems. You can view the General Terms and Conditions at any time on this page. If you have created a customer account, you can view your customer data at any time under “Customer Login.” The order data will be sent to you by email. For security reasons, after the order is completed, the contract text is no longer accessible via the Internet.
